Section 1

Nature of Service

This engagement covers a one-day strategic HR advisory service focused on employer-side risk management, HR systems assessment, and institutional protection.

This is a strategic and advisory service only. It does not include court or tribunal appearances, negotiations, litigation, or ongoing legal representation unless expressly agreed in writing.

Section 2

Booking and Scheduling Requirements

The service must be booked at least thirty (30) days prior to the Client's internal or external deadline.

The Client shall provide fixed schedules at least fifteen (15) working days prior to the session date.

Requests made within less than thirty (30) days may be declined or rescheduled at the discretion of Rahima Ayunan.

Section 3

Delivery Timeline

Delivery of the advisory engagement shall occur only after thirty (30) days.

The 30-day period shall be counted from the later of:

  • (a) confirmed receipt of full or required partial payment; and
  • (b) receipt of all documents and information required by Rahima Ayunan.

Incomplete, inaccurate, or delayed submissions shall suspend the running of the 30-day period.

Section 4

Client Obligations

The Client shall be responsible for:

  • Timely submission of complete, accurate, and truthful HR records, policies, and employee data
  • Full disclosure of all material facts affecting HR risk, compliance, or exposure
  • Designation of an authorized decision-maker for coordination

All advisory outputs shall be based solely on the information provided by the Client.

Section 5

Professional Fees and Employee Headcount

Professional fees are as follows:

  • Minimum of PHP 50,000.00 per session conducted within NCR
  • Minimum of PHP 100,000.00 per session conducted outside NCR, including Visayas and Mindanao

Fees are exclusive of travel, accommodation, and logistical costs, which shall be borne by the Client.

Fees may vary depending on the number of employees involved, including regular, contractual, probationary, and project-based personnel.

Final fees must be confirmed and agreed in writing prior to commencement.

Section 6

Payment Terms

To confirm the engagement, the Client shall pay at least fifty percent (50%) of the total cost ten (10) working days prior to the first scheduled session.

The remaining balance shall be payable after the rendition of services, based on the agreed schedule.

Full payment is required before final delivery.

Payments are non-refundable once the advisory process has commenced.

Failure to pay any amount due authorizes Rahima Ayunan to suspend or withhold services.

Section 7

Responsibilities of the Client (Outside NCR Engagements)

For engagements conducted outside the National Capital Region (NCR), the Client shall provide:

Travel Arrangements

  • Round-trip airfare for Rahima Ayunan
  • Airfare shall be booked through Philippine Airlines (PAL) or Cebu Pacific (CEBUPAC) only, unless otherwise agreed in writing

Accommodation and Meals

  • Hotel accommodation and meals
  • Check-in one (1) night before a morning session
  • Check-out one (1) day after an afternoon session

Venue and Technical Requirements

  • Airconditioned, adequately sized venue
  • Screen, projector, and audio-visual equipment with sound system
  • At least one (1) microphone positioned to allow participant interaction

Operational Support

  • Registration procedures and participant management
  • Name tags for participants
  • One (1) designated training assistant

Training Materials

  • Printed hand-outs
  • Printed Certificates of Attendance
Section 8

Cancellation or Changes in Schedule

Any change in schedule must be communicated at least fifteen (15) working days prior to the scheduled session.

In case of cancellation due to force majeure or reasons not attributable to Rahima Ayunan, the 50% partial payment shall be forfeited.

If Rahima Ayunan is unable to attend due to serious illness, accident, or death of an immediate family member, she may appoint a qualified associate to conduct the session.

Should Rahima Ayunan fail to appear without valid reason and without appointing an associate, she shall refund the 50% partial payment plus a penalty of PHP 5,000.00.

Section 9

Confidentiality

All documents, data, and discussions are treated as confidential and shall be used solely for purposes of delivering the advisory service, subject to applicable law.

Section 10

Waiver and Limitation of Liability

All recommendations are based on applicable laws, regulations, and professional judgment.

Any action taken by the Client outside or contrary to the recommendations shall be deemed the Client's sole responsibility.

Rahima Ayunan shall not be liable for outcomes resulting from:

  • incomplete or inaccurate disclosures
  • non-implementation of recommendations
  • independent decisions of the Client

No guarantee is made as to outcomes, regulatory action, or dispute resolution.

Section 11

Termination and Non-Payment

These Terms & Conditions shall remain applicable even if the engagement is terminated early due to withdrawal, compromise, settlement, or other causes.

Non-payment of fees when due authorizes Rahima Ayunan to suspend services.

Continued default for thirty (30) days authorizes withdrawal from the engagement without need of further consent, subject to the right of retention over documents or outputs until full payment.

Section 12

Governing Law

These Terms & Conditions shall be governed by applicable Philippine laws, unless otherwise agreed in writing.

Section 13

Conformity

By signing below, the Client confirms acceptance of these Terms & Conditions and agrees to comply with all obligations stated herein.

This engagement strengthens systems, not excuses.
