1-Year Strategic Counsel
for High-Consequence Decisions

This service is a twelve (12)-month strategic counsel engagement designed for leaders facing high-consequence decisions involving legal, organizational, reputational, or human impact.

The engagement provides strategic clarity, risk framing, and decision guidance.

It is not legal representation, not litigation support, and does not include court appearances, negotiations, or advocacy unless separately agreed in writing.

• This service is invitation-only and subject to acceptance by Rahima Ayunan.
• Engagements are strictly limited to a maximum of ten (10) clients per calendar year to preserve quality, confidentiality, and focus.
• Acceptance of payment does not guarantee continuation if eligibility requirements are breached.

The engagement shall run for one (1) full year, commencing on the date of confirmed initial payment, unless earlier terminated in accordance with these Terms & Conditions.

• Voice calls are not permitted unless scheduled in advance as part of the agreed meetings.
• All guidance outside scheduled meetings shall be provided in writing to ensure clarity, accuracy, and accountability.
• Emergency or urgent matters shall not override the scheduled communication framework.

The investment for this engagement is PHP 250,000.00 per month, payable under the following structure:

All payments must be made on or before the agreed due dates.

All payments under this retainer are non-refundable, whether in whole or in part.

This reflects:

• Reserved advisory capacity
• Long-term strategic commitment
• Exclusivity of engagement

Early termination by the client does not entitle the client to refunds.

The client shall:

• Provide truthful, complete, and timely information
• Disclose material facts affecting decision-making
• Respect the communication structure and boundaries

All strategic counsel shall be based solely on information provided by the client.

Rahima Ayunan shall not be liable for:

• This service provides strategic counsel and guidance, not guaranteed outcomes.
• Final decisions, actions, and consequences remain solely with the client.

• Business, legal, financial, or reputational outcomes
• Decisions taken contrary to advice
• Incomplete or misleading disclosures

All communications, documents, and exchanges under this engagement are treated as strictly confidential, subject to applicable law.

Rahima Ayunan reserves the right to terminate the engagement if:

• Failure to comply with payment schedules authorizes suspension of services.
• Continued default may result in termination of the engagement without refund.

• Trust or disclosure integrity is compromised; or
• The engagement is used beyond its intended strategic purpose.

These Terms & Conditions shall be governed by applicable Philippine laws, unless otherwise agreed in writing.

Participation in this engagement confirms acceptance of these Terms & Conditions and acknowledgment of the exclusive, structured, and strategic nature of the service.
